I built the first version of the tools this Charter governs the way I build everything — at a kitchen table, after midnight, because a problem wouldn't leave me alone.

I am a U.S. Navy and Marine Corps veteran. I spent a career as a federal Chief Data Officer, in the Senior Executive Service, before a medical separation. And I am a chronic migraine patient who has sat in a seven-minute appointment trying to compress six months of suffering into a sentence a stranger would believe. I know what it feels like to be unseen by a system built to decide your future. I also know, now, what it feels like to build the tool that finally sees you.

Every product we build begins the same way — not as a market opportunity, but as a need that had no name and no vendor. A way to prove pain to a rater who wasn't there for it. A way to protect a child's heart without walling off the world. A way to keep a family from drowning quietly in its own calendar. A way to be understood instead of sorted.

This Charter is not a pitch. It is a public standard against which our choices may be judged. It tells supporters what they are joining, users what they may expect, partners what cannot be negotiated, and future leadership — including me — what must remain true when growth, praise, scarcity, urgency, or opportunity make compromise appear reasonable.

We are not building software. We are building technologies that stand beside people during the moments that matter most. Software is simply the form those commitments take today.

Preamble

We stand at a precipice. On one side is a world in which institutions collect more information about people than ever before, yet routinely fail to understand the lives represented by that information. On the other is a more humane possibility: people equipped to recognize their own patterns, preserve their own memories, explain their own needs, and carry credible evidence into the rooms where consequential decisions are made.

The Precipice is the movement toward that possibility. It begins with Precipice Health, LLC, but it is larger than a company and longer-lived than any product. It gathers builders, families, veterans, clinicians, educators, advocates, communities, and organizations around a shared conviction: data becomes power only when it remains connected to the person, context, and dignity from which it came.

Article IMission and Horizon

1. Our mission. The Precipice exists to return interpretive power to people: to help individuals and communities transform lived experience into evidence, evidence into understanding, and understanding into informed action — without surrendering ownership, privacy, or human dignity.

2. The change we seek. A world in which a migraine history is not dismissed as anecdote; a veteran's record is not reduced to a form; a family's capacity is not mistaken for an empty calendar; a child's emotional reality is not treated as an afterthought; a relationship is not optimized at the expense of dignity; a civic difference is not converted into contempt; a book continues to serve after its first reader; and a memory is preserved without being rewritten by the system entrusted to keep it.

3. The movement and the company. Precipice Health is the founding steward, principal builder, and first institutional expression of The Precipice. The company may create products, employ people, earn revenue, enter partnerships, and protect intellectual property. The movement supplies the moral horizon. The company serves the movement; the movement does not exist merely to enlarge the company.

4. On the name. A precipice is usually read as a warning: the edge of a cliff, the place you're told to step back from. This Charter uses the word on purpose for both halves of its meaning. The edge is where the fall happens — the diagnosis, the denied claim, the custody hearing, the week that finally breaks a family. It is also the only place a leap is possible. Every product we build meets someone at exactly that point, not before it and not after — and works to make sure the leap, not the fall, is what happens next.

Article IIThe Covenant of Practice

Every Precipice product, feature, partnership, and policy must pass five tests. These are not themes for marketing. They are decision rules. When two legitimate interests conflict, the principle named first carries the presumption.

Article IIIOne House, Many Doors

The present portfolio includes nine doors into one mission: Migraine Data Detective, The Well, LifeOS, Evident, Lighthouse, Mirror, Kindred, BookNookExchange, and MemIQ. Each addresses a different human circumstance; none is exempt from the same Covenant.

The portfolio is mutually supportive by design. A product that becomes stable may help finance, inform, or strengthen the next. Shared infrastructure may reduce cost and improve protection — but data will not be silently pooled simply because products share a parent company. Connection between products must be purposeful, disclosed, permissioned, reversible where feasible, and beneficial to the person — not merely convenient to Precipice Health.

The number and names of products may change. The mission may not. A proposed product belongs in this house only if it advances human evidence, dignity, understanding, stewardship, or durable connection; can be supported responsibly; and does not require abandonment of this Charter to succeed.

Article IVThe Movement and Its Watchkeepers — The Flat Covenant

The Precipice is carried by people who choose to stand a post. We call them Watchkeepers — not because they guard a brand, but because they help guard the covenant: watching for drift, making the work stronger, extending its reach, and reminding the builder whom the work is meant to serve.

Who may stand a post. A Watchkeeper may be a user, caregiver, veteran, clinician, educator, designer, engineer, writer, organizer, donor, community leader, business, or institution. No title, wealth, credential, political identity, diagnosis, or purchase is required. What is required is alignment with the mission and respect for the dignity and privacy of those the movement serves.

The Flat Covenant

Every Watchkeeper stands on the same ledger, at the same weight, with the same voice. There are no membership tiers. There are no perks tied to the size of a gift. There is no private founder call sold at a monthly rate, no roadmap seat purchased with a larger check, no name printed larger for having given more. Money buys hosting and models, not moral ownership.

The $50,000 Annual Contributor Cap

To make the movement uncapturable by any single donor, no individual, family, business, foundation, or affiliated group of related contributors may contribute more than fifty thousand United States dollars ($50,000) to The Precipice in any calendar year, in aggregate across all forms of financial support. This cap applies to cash contributions, in-kind gifts valued at fair-market rate, sponsorships, grants that flow through the Open Collective ledger, and any related-party transfers designed to circumvent the cap.

When a contributor offers more, Precipice Health shall thank the giver, publicly acknowledge the offer, and decline the excess. The cap may be adjusted only by public Charter amendment under Article VIII — and never for the benefit of a specific pending contribution. The cap exists so that the largest voice in the room is never the largest wallet.

Rights of Watchkeepers. To receive honest descriptions of what exists, what is planned, what has changed, and what remains uncertain. To question decisions, identify mission drift, and offer criticism without being treated as disloyal. To know how contributed resources are used at a level appropriate to the form and scale of support. To withdraw participation without coercion, public shaming, or loss of rights attached to their own data.

Responsibilities of Watchkeepers. Protect confidentiality; do not turn access to another person's story into status, content, leverage, or gossip. Distinguish personal experience from clinical, legal, financial, or other professional authority. Make room for disagreement, correction, and learning while refusing dehumanization and bad-faith harm. Serve the mission rather than seeking control of the movement through money, audience, title, or proximity to the founder.

Article VIndependence and Partnership

The movement welcomes partnerships with communities, businesses, health systems, veteran-serving organizations, schools, libraries, researchers, and public institutions when those relationships advance the mission without converting people into inventory.

Precipice Health will not accept venture or corporate capital that transfers governing control, creates an obligation to extract value from personal data, or makes indefinite growth more important than durable service. Revenue, grants, gifts, sponsorships, and mission-aligned collaborations may be accepted only with terms that preserve product truth, user rights, editorial independence, and this Charter.

All third-party financial support is additionally bound by the Article IV $50,000 annual contributor cap. Where a partner's proposed support would exceed the cap, the excess is declined — publicly — regardless of the mission alignment of the offer.

No partner receives exemption from the Covenant.

Article VIThe Builder's Restraint

Founding authority is a responsibility, not a private permission slip. The founder may set vision, sequence the portfolio, protect coherence, and make final operating decisions while Precipice Health remains founder-led. That authority is bound by this Charter.

The founder and every future leader shall:

• Tell the truth about capacity, readiness, limitations, evidence, automation, security, and risk — even when ambiguity would sell better.
• Separate aspiration from current capability, and public targets from promises.
• Decline revenue, growth, recognition, or partnership that requires treating people as means rather than ends.
• Invite informed challenge and document material departures from the Charter, including the reasoning, duration, and corrective action.
• Build succession around the Covenant so Precipice Health does not become ethically ownerless when its founder can no longer lead it.

Article VIIPublic Accountability

A constitution matters only if people can use it. Precipice Health shall maintain a plain-language public expression of this Charter and establish practical ways to raise concerns. Material product and policy decisions should be explainable through the five Principles.

When the company falls short, the expected response is acknowledgment, containment of harm, correction, communication appropriate to those affected, and learning that changes the system — not reputation management disguised as accountability.

At least annually, and more often during major growth, the steward shall publish a concise State of The Precipice addressing: mission alignment; product status; user trust and safety; meaningful incidents and remedies; use of Watchkeeper contributions; partnerships that materially shape the work; any contributor(s) approaching or reaching the annual $50,000 cap; and any proposed Charter amendments.

Article VIIIAmendment and Permanence

This Charter is living because the movement must learn. It is constitutional because learning must not become an excuse for convenience. Amendments may clarify language, strengthen protections, respond to unforeseen harms, or improve governance. They shall be proposed publicly, explained in plain language, and allowed a meaningful period for Watchkeeper comment before adoption, except where urgent change is required to prevent harm or comply with law.

No amendment is legitimate if its primary purpose is to:

• Make the sale of personal data acceptable
• Permit undisclosed use of personal content for model training
• Erase human dignity as the controlling concern
• Silence good-faith criticism
• Subordinate the movement's mission to investor return
• Raise or remove the $50,000 annual contributor cap for the benefit of a specific pending contribution

If Precipice Health can no longer uphold this Charter, it must say so plainly rather than preserve the language as decoration.
